Refund & Cancellation Policy

1. Overview

Lyoworks LLC ("Lyoworks," "we," "us," or "our") provides custom process development services, including formulation development, lyophilization cycle development, and pilot-scale aseptic fill-finish. Because our work is performed on a project-specific basis using client-provided materials and custom protocols, all services are non-standard and tailored to each engagement.

2. Custom Nature of Services

Each engagement involves client-specific compounds and materials, custom formulation and process design, dedicated laboratory time, equipment use, consumables, and technical personnel assigned to the project. Because of this, services cannot be resold, repurposed, or transferred to another client once work has commenced.

3. Cancellation by Client

3.1 Before Work Begins

If you wish to cancel an engagement before any work has commenced and before any materials or consumables have been procured, you may do so by providing written notice to eutectic@lyo.works. Any deposit paid will be refunded in full, less any non-recoverable administrative or procurement costs already incurred.

3.2 After Work Has Commenced

Once development work has begun, cancellation terms are governed by the applicable SOW. In general:

• Fees for work already completed are non-refundable
• Costs for materials and consumables already procured or used are non-refundable
• Any remaining balance on prepaid fees will be refunded, less the costs described above

Lyoworks will provide a written accounting of work completed and costs incurred upon cancellation.

3.3 Notice

All cancellation requests must be submitted in writing to eutectic@lyo.works. Verbal cancellation requests are not binding.

4. Cancellation by Lyoworks

Lyoworks reserves the right to cancel or terminate an engagement if:

• The project scope shifts toward patient-directed, clinical, or consumer use
• The client breaches the Terms of Service or the applicable SOW
• Continued engagement would present legal, regulatory, ethical, or reputational risk
• The client fails to provide required materials, information, or payment

In such cases, we will provide a written accounting and refund any prepaid fees for work not yet performed, less costs already incurred.

5. Refunds

5.1 Eligible Refunds

• Cancellation before work begins (see Section 3.1)
• Partial refund of prepaid fees for work not performed following a mid-project cancellation
• Termination by Lyoworks where prepaid fees exceed work completed

5.2 Non-Refundable Items

• Fees for development work already completed
• Costs for materials, consumables, and reagents procured or used
• Third-party testing or analytical service costs incurred on behalf of the client
• Administrative and procurement costs already expended

5.3 Refund Processing

Approved refunds will be processed within thirty (30) business days. Refunds will be issued via the original payment method or by wire transfer, as appropriate.

6. Disputes

If you believe a billing error has occurred or have concerns about the quality or scope of work delivered, please contact us at eutectic@lyo.works within thirty (30) days of the invoice date or delivery of the disputed work. We will review the concern in good faith and work with you to reach a reasonable resolution.

7. No Guarantees of Outcome

Process development is inherently experimental. Results depend on the nature of the compound, the parameters of the engagement, and factors that may not be fully predictable at the outset. Lyoworks does not guarantee specific outcomes, product performance, regulatory approval, or commercial viability. Fees reflect the professional time, expertise, materials, and resources committed to the engagement — not a guaranteed result.
